Registering a limited company via eRegistry & 'green box' question

    Registering a limited company via eRegistry & 'green box' question

    Quick questions here about registering a limited company in Hong Kong.

    1) When registering for a private limited company via eRegistry do they request the business address when you register online? My company will start business about 30 days from now and we haven't finalized our business address yet.

    2) Does anyone know a good (and cheap) place to get a custom-made company 'green box' set after we've completed our company registration? Is a 'green box' even a necessity besides the various chops and seals to conduct business?

    Green Box?

    You have to provide the address of shareholders and directors. No company address required.
    Once the company is registered you have to apply for Business Registration Certificate, for which an address is required.
    You do not need any Green or Red Box. Once the company is registered you will need following items:
    1) Seal,
    2) Rubber Chop.
    3) Register of the directors and shareholders,
    4) Book to record the minutes
    5) Share certificates( This you can print on your own computer)

    You can always use a temporary address and then change it (Form R1) once you get your final address.

    Many virtual office companies (or friends?) can help you get a temporary registered address.

    Typically you can also use your company secretary's address as the registered address. We certainly do. They are also our accountants.

    I was curious about this part. Thanks MovingIn07 for the update. Just wondering if you have a good accountant for a referral? Not going to have alot of transactions to start off so I'm trying to keep my initial start-up cost as low as possible until I know my biz venture can flourish in HK.

    Also just wondering if having an outsourced company secretary is really needed for compliance reasons? Can't I just put a local friend/relative as my company secretary and do all the basic compliance stuff (annual returns, etc etc) by myself? Are those stuff complicated to do on your own and can it all be done via the eRegistry website?

    Auditor.

    Yes,any one can act as company secretary.
    You can use the address of a friend or relative.
    Filing annual return is very simple. You can do on line.
    You will need an Auditor for auditing the accounts. This is a legal requirement.

    Yes, you can do pretty much everything yourself if you want to save money. So yes you could use a friends address. Just make sure you keep on top of the paperwork - it gets problematic if you forget to file something.

    We use A-swiss (Hong Kong(HK) Company Formation & Registration : A-Swiss) who I find to be fine. They are middle of the road - not the absolute cheapest but not expensive either.

    I registered my limited company with this small accounting firm for 3250. It saved alot of trouble from doing some of the paperwork and at least i know it was done correctly.

    Thanks again to Oldtimer and MovingIn07 for your reply. Your responses are invaluable as I sort out some of the basics in establishing and maintaining a private limited company via the eRegistry website. The process is relatively straightforward but can be a tad bit confusing at first.

    Although I know that a 'Green Box/Company Kit' isn't a necessity I'm considering getting one through a company called Ready-Made (readymade.com.hk) due to their cheap prices. Has anyone used them before? I would assume all the stamps/chops and all the forms that come in a 'Green Box/Company Kit' is relatively standard...no?!
